1. Agreement to Terms
By accessing or using the Meridian Retail Media Operations platform ("the Platform"), you agree to be bound by these Terms of Service. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
The Platform is designed for enterprise retail media operations. Individual consumer use is prohibited. All users must be authorized by their organization and access is restricted to business purposes only.
2. Account Terms
2.1 Eligibility
To use the Platform, you must:
- Be authorized by your organization to access retail media operations
- Use an enterprise email address provided by your organization
- Maintain the confidentiality of your authentication credentials
- Have a defined role (Supplier, Retail Operations, Finance, Administrator)
2.2 Account Responsibilities
You are responsible for:
- Maintaining the security of your account and password
- All activities that occur under your account
- Immediately notifying your administrator of any unauthorized access
- Ensuring your contact information remains current and accurate
3. Acceptable Use Policy
The Platform may only be used for legitimate business purposes related to retail media operations. You agree not to:
- Attempt to gain unauthorized access to any part of the Platform
- Use the Platform for any illegal or unauthorized purpose
- Interfere with or disrupt the integrity or performance of the Platform
- Attempt to reverse engineer, decompile, or disassemble any portion of the Platform
- Share authentication credentials or allow unauthorized access
- Use automated systems to access the Platform without explicit authorization
4. Data and Confidentiality
4.1 Data Ownership
Your organization retains ownership of all data submitted to the Platform. Meridian only processes this data to provide the retail media operations services as specified in the enterprise agreement with your organization.
4.2 Confidentiality Obligations
You agree to maintain the confidentiality of:
- Platform architecture, security measures, and proprietary technology
- Other organizations' retail media data that you may have access to
- Internal business processes and operational data
- Security vulnerabilities or platform weaknesses
5. Security Requirements
All users must adhere to security protocols:
- Use strong, unique passwords that are changed regularly
- Enable multi-factor authentication where available
- Report any security concerns immediately to the security team
- Never share screens containing sensitive data in unsecured environments
- Log out of the Platform when not actively using it
Any violation of security protocols may result in immediate account suspension, investigation, and potential legal action. All security incidents are logged and reported to enterprise administrators.
6. Audit and Monitoring
You acknowledge and agree that:
- All activities on the Platform are logged and monitored
- Audit trails are maintained for compliance and security purposes
- Meridian may review usage patterns for security and operational improvement
- Enterprise administrators have access to audit logs for their organization
7. Service Levels and Availability
The Platform is designed for high availability, but you acknowledge that:
- Scheduled maintenance may result in temporary unavailability
- Emergency maintenance may be performed without prior notice
- Service level agreements are defined in enterprise contracts
- Backup and disaster recovery procedures are in place
8. Termination
Access to the Platform may be terminated:
- By your organization's administrator at any time
- Immediately for violation of these Terms of Service
- Upon termination of the enterprise agreement with your organization
- For prolonged inactivity (90 days or more)
9. Limitation of Liability
To the maximum extent permitted by law, Meridian shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Platform.
10. Updates to Terms
Meridian reserves the right to update these Terms of Service at any time. Material changes will be communicated through enterprise administrators. Continued use of the Platform after changes constitutes acceptance of the updated terms.
